1. Agreement to these Terms

These Terms of Service govern your access to and use of Law Firm Navigator ("Law Firm Navigator," "LFN," "we," "us," or "our"), including the website, assessment, strategic analysis, roadmaps, progress-management tools, executive coaching features, and related services.

By creating an account, starting a paid subscription, or using Law Firm Navigator, you agree to these Terms and any policies expressly incorporated into them. If you use LFN on behalf of a law firm or other organization, you represent that you have authority to bind that organization to these Terms.

2. What Law Firm Navigator provides

Law Firm Navigator is a strategic management system for the business of operating a law firm. LFN may assess information you provide, identify strategic patterns and priorities, build a strategic roadmap, measure progress, and provide management-oriented coaching and decision support.

Law Firm Navigator does not provide legal representation, legal opinions, or legal advice to you or your clients. LFN is not a substitute for your professional judgment, accounting advice, tax advice, investment advice, employment counsel, ethics counsel, or other specialized professional advice.

3. Accounts and firm information

You are responsible for providing accurate account and firm information and for keeping login credentials secure. You are responsible for activity performed through your account by authorized users.

You should not enter client confidences, privileged communications, protected health information, payment-card data, Social Security numbers, or other information that is unnecessary for LFN's strategic-management purpose. You are responsible for determining what information your professional, contractual, ethical, and legal obligations permit you to provide to the service.

4. Subscription and billing

The initial Strategic Assessment is free. Paid Navigator and Navigator + Executive Coaching subscriptions are billed in advance for the applicable billing period and, unless otherwise stated at checkout, renew monthly until canceled.

By purchasing a subscription, you authorize LFN and its payment processor to charge the payment method you provide for recurring subscription fees, applicable taxes, and other charges you expressly authorize. Prices shown at checkout control for the transaction you approve.

Promotional pricing may be offered under separate written launch terms. Any special pricing, duration, eligibility requirements, or price-lock provisions will be disclosed before payment is authorized.

5. Cancellation and renewal

You may cancel a recurring subscription at any time through the billing-management experience made available in your account. Cancellation stops future renewal charges and becomes effective at the end of the then-current paid billing period unless otherwise required by law or expressly stated at checkout.

You retain paid access through the end of the current billing period. After paid access ends, retained strategic records may remain available on a read-only basis while paid roadmap execution, executive coaching, and other paid features are disabled. You may reactivate a subscription subject to then-current pricing and availability.

6. Refunds

Except where required by law or expressly stated in a written offer, subscription fees already paid are not prorated or refunded merely because you cancel before the end of a billing period. Your access continues through the period for which you have already paid.

If you believe a charge was made in error, contact LFN promptly so the charge can be reviewed.

7. Your data and strategic records

As between you and LFN, you retain ownership of the business information and content you submit to the service. You grant LFN the rights reasonably necessary to host, process, analyze, display, and otherwise use that information to provide, secure, maintain, and improve the service.

LFN may generate strategic analyses, scores, recommendations, roadmaps, progress records, and related outputs using information you provide and LFN's proprietary methods. Your right to use outputs created for your firm is subject to these Terms; LFN retains ownership of its software, expert-engine logic, methodologies, models, templates, system architecture, and other underlying intellectual property.

8. Acceptable use

You may not misuse LFN, attempt unauthorized access, interfere with service operation, probe or defeat security controls, use the service to violate law or professional obligations, reverse engineer protected portions of the service except where such restriction is prohibited by law, or use automated means to extract substantial portions of LFN's proprietary content or strategic architecture.

You may use LFN for the internal business-management purposes of your subscribing organization and its authorized users.

9. Availability and changes

We work to provide a reliable service, but LFN is provided over networks, hosting platforms, databases, payment systems, and other technologies that may experience interruptions. We do not guarantee uninterrupted or error-free availability.

LFN will continue to evolve. We may modify features, workflows, interfaces, expert-engine logic, integrations, or technical architecture. We will not intentionally use ordinary product changes to eliminate the core benefit of an already-paid subscription period without a reasonable business reason.

10. NO WARRANTY OR GUARANTEE OF RESULTS; YOUR RESPONSIBILITY FOR IMPLEMENTATION

LAW FIRM NAVIGATOR DOES NOT WARRANT OR GUARANTEE ANY PARTICULAR BUSINESS RESULT. LFN's analyses, recommendations, roadmaps, coaching responses, benchmarks, priorities, milestones, and other outputs are strategic decision-support tools, not promises of performance or outcome.

Your results depend materially on decisions and actions that you and your firm control, including whether, when, how completely, and how effectively you implement LFN recommendations; the resources you commit; your leadership and management decisions; your follow-through; the accuracy and completeness of information you provide; and changing market, economic, competitive, personnel, client, regulatory, and other business conditions outside LFN's control.

You remain solely responsible for deciding whether and how to implement any recommendation or roadmap item. Failure to implement a recommendation, delayed implementation, partial implementation, materially different implementation, or circumstances outside LFN's control may reduce or eliminate an anticipated benefit. You should independently evaluate material decisions and obtain specialized professional advice where appropriate.

11. Intellectual property

Law Firm Navigator and its software, expert engines, scoring systems, strategic frameworks, workflows, methodologies, visual design, documentation, prompts, knowledge architecture, and related technology are protected by intellectual-property laws and remain the property of LFN and its licensors.

These Terms grant you a limited, non-exclusive, non-transferable right to use the service during the period in which you are authorized to access it. They do not transfer ownership of LFN technology or intellectual property.

12. Suspension and termination

We may suspend or limit access when reasonably necessary to address nonpayment, security risks, unlawful use, material breach of these Terms, threats to the service or other users, or legal requirements. Where practical, we will provide notice and an opportunity to cure a remediable issue.

You may stop using the service at any time. Ending use of the service does not by itself cancel an active paid subscription; recurring billing must be canceled through the available billing-management process.

13. Disclaimers and limitation of liability

To the fullest extent permitted by applicable law, LFN is provided on an "as available" basis and without warranties not expressly stated in these Terms. Without limiting Section 10, LFN makes no warranty or guarantee that use of the service or implementation of any recommendation will produce a particular revenue level, valuation, profitability result, growth outcome, hiring outcome, workload reduction, operational result, sale, succession event, or other business result.

To the fullest extent permitted by law, LFN and its owners, affiliates, personnel, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of data arising from use of the service. Any aggregate liability that cannot lawfully be excluded will be limited to the amount you paid to LFN during the twelve months preceding the event giving rise to the claim, unless applicable law requires a different remedy.

14. Changes to these Terms

We may update these Terms as the service and commercial offering evolve. Material changes will be posted with an updated effective date and, when appropriate, additional notice. Changes will apply prospectively unless applicable law permits otherwise.
